Terms of Service

1. Acceptance of Terms

By creating a Backbone account, accessing app.backbonesolutions.ai, or using any Backbone API ("the Service"), you agree to these Terms of Service and our Privacy Policy. If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you don't agree, don't use the Service.

2. What the Service Is

Backbone Solutions ("Backbone," "we," "us," "our") provides a multi-tenant SaaS platform for inventory and order management:

  • Product catalog with variants, attributes, categories, brands, vendors
  • Multi-location inventory tracking with rolling-velocity metrics
  • Sales channel management (Clover POS, custom storefronts, Stripe checkout)
  • A storefront API that lets operator-built or partner-built storefronts read your catalog and write order events
  • Print-on-demand fulfillment routing for variants you flag as POD (Printify, Printful)
  • Subscription billing for Backbone itself, charged via Stripe

We are not a payment processor for your customers. Your customers pay via Stripe, Square, Clover, or whatever processor you configure. We are not a fulfillment provider — physical fulfillment for stocked variants happens at your locations; POD fulfillment happens at Printify or Printful, which you connect with your own credentials.

3. Eligibility, Accounts, and Authorization

You must be at least 18 years old and operating a legitimate business to use Backbone. When you connect a third-party service (Clover, Printify, Stripe, etc.), you represent that you are authorized to do so on behalf of that account.

You are responsible for keeping your Backbone credentials secure. Notify us at security@backbonesolutions.ai immediately if you suspect unauthorized access. We support multi-factor authentication and recommend enabling it.

4. Subscription, Billing, and Refunds

Backbone is offered on a subscription basis. The price for your plan is shown in-product and on the marketing site at the time of sign-up. Charges recur automatically until you cancel.

  • Trials. When we offer a free trial, your card is not charged until the trial ends. You can cancel during the trial without paying.
  • Plan changes. Upgrading takes effect immediately and is prorated. Downgrading takes effect at the end of your current billing period.
  • Cancellation. You can cancel at any time from Settings → Billing. Cancellation stops future charges; you keep access for the remainder of the period you've paid for.
  • Refunds. We don't offer refunds for partial billing periods. If we charge you in error, contact billing@backbonesolutions.ai and we'll resolve it.
  • Failed payments. If your subscription payment fails, we'll retry per Stripe's defaults and send email notifications. After repeated failures we may downgrade your account to read-only or close it.

Pricing changes for existing subscribers take effect on the next billing cycle following at least 30 days' notice.

5. Acceptable Use

You may use Backbone to:

  • Manage inventory, products, and orders for legitimate businesses you own or are authorized to operate
  • Integrate with third-party services using credentials you control
  • Build storefronts, mobile apps, or back-office tools that consume the Backbone API on your behalf

You may not:

  • Use Backbone for products or services that are illegal in your jurisdiction or in any jurisdiction you ship to
  • Reverse engineer, copy, or attempt to extract the Backbone source code, AI models, or proprietary algorithms
  • Resell, sublicense, or white-label Backbone access without a written reseller agreement
  • Use Backbone to send spam, phishing messages, or unsolicited communications to anyone
  • Exceed reasonable rate limits on the API or take other actions that degrade service for other tenants
  • Bypass row-level security, RLS policies, or any other tenant-isolation mechanism
  • Submit fabricated invoices, falsified inventory data, or any data intended to deceive other systems
  • Hold Backbone responsible for the legality, safety, or quality of products you sell to your customers

We may suspend or terminate accounts that violate these rules. Egregious violations may be terminated without notice.

6. Your Data, Your Customers' Data

You retain ownership of the data you put into Backbone — your products, customers, sales records, and configurations. We hold it on your behalf to provide the Service. You grant us a limited license to process your data only as needed to operate Backbone.

Your customers' data (names, shipping addresses, order details) belongs to your customers and is held by you as the data controller. Backbone processes it on your behalf. You are responsible for posting a customer-facing privacy policy that complies with applicable law and discloses Backbone as a processor.

You can export your data at any time in machine-readable format. Account deletion permanently removes your data within 30 days, retained only in disaster-recovery backups for up to 90 days as detailed in the Privacy Policy.

7. AI-Assisted Features

Some Backbone features use AI to parse invoices, suggest matches, or generate descriptions. AI output may contain errors. You are responsible for reviewing AI-generated output before applying it to your inventory, prices, orders, or customer-facing surfaces. We provide review and confirmation steps for inventory changes; you must use them.

We do not train AI models on your data without explicit, opt-in consent surfaced in-product. Providers we use to deliver AI features (currently Anthropic) operate under their own terms which we've reviewed and consider compatible with this commitment.

8. Third-Party Integrations

Backbone connects to services like Clover, Printify, Printful, Stripe, and Anthropic. When you connect a third-party service, your use of that service is governed by its own terms and privacy policy. We are not responsible for outages, data losses, billing changes, or other actions taken by these third parties — but we will work in good faith to mitigate impact on your Backbone experience.

When a third party suspends or terminates your account with them, the corresponding integration in Backbone may stop working. Disconnecting an integration in Backbone does not cancel your account at the third party.

9. Intellectual Property

The Backbone platform, including its software, design system, documentation, AI models, and brand, is the property of Backbone Solutions. We grant you a limited, non-exclusive, non-transferable license to use the Service during your active subscription. We may evolve the platform, retire features, and change pricing — we'll communicate material changes with at least 30 days' notice.

Feedback, suggestions, or bug reports you send us may be used without obligation. If you build something on top of the Backbone API, your application is yours; we claim no ownership of your code.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, that AI-generated output will be accurate, or that integrations with third-party services will remain available.

11. Limitation of Liability

To the maximum extent permitted by law, Backbone Solutions and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, business interruption, or cost of substitute services — arising from your use of the Service, even if we've been advised of the possibility.

Our total aggregate liability for any claim arising under these Terms or related to the Service shall not exceed the amount you paid Backbone in the twelve months preceding the claim.

Some jurisdictions don't allow these limits; in those jurisdictions our liability is limited to the smallest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Backbone Solutions from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: your use of the Service in violation of these Terms; your products or services causing harm to your customers; your failure to comply with applicable laws (consumer protection, data protection, tax, sanctions, etc.); or your unauthorized use of third-party integrations.

13. Termination

You may terminate at any time from Settings → Billing. We may terminate or suspend your account if you violate these Terms, fail to pay, or use the Service in a way that creates legal or operational risk for us. We'll provide notice when reasonable; immediate termination is reserved for severe violations.

On termination, your right to use the Service ends. Your data is retained per Section 6 and the Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. Material changes (new restrictions, expanded liability, fee changes) are communicated via in-product notice and email at least 30 days before they take effect. Minor changes (clarifications, typo fixes) are posted here with the "Last updated" date refreshed. Continued use after changes take effect constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict-of-law principles. Any dispute arising under these Terms or related to the Service shall be brought exclusively in the state or federal courts located in Milwaukee County, Wisconsin, and you and Backbone consent to that venue.

You and Backbone agree to attempt to resolve disputes through good-faith discussion before filing suit.

16. Miscellaneous

  • Entire agreement. These Terms plus the Privacy Policy and any plan-specific terms form the entire agreement between you and Backbone regarding the Service.
  • Severability. If a court finds any provision unenforceable, the rest of these Terms remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for failure to perform due to circumstances beyond reasonable control (natural disasters, war, government actions, internet outages, etc.), provided the affected party makes reasonable efforts to mitigate.

17. SMS / Text Messaging Program

Masari Motors, the used-vehicle dealership operated by Backbone Solutions, sends SMS text messages to people who provide their mobile number and opt in on our website. Two kinds of messages are sent, both one-to-one: (1) customer care — we reply by text to a shopper who submitted a vehicle-inquiry form at masarimotors.com/contact and asked to be contacted; and (2) account notifications — confirming, rescheduling, or reminding that shopper about a test drive or appointment they booked. This is not a marketing or promotional program.

  • How you opt in. By entering your phone number and checking the SMS-consent box on the vehicle-inquiry form at masarimotors.com/contact. Consent to receive texts is not a condition of any purchase.
  • Message frequency. Message frequency varies — you receive messages in response to the inquiry you submitted, so volume depends on your conversation with us.
  • Message and data rates. Message and data rates may apply, according to your mobile carrier plan.
  • To opt out, reply STOP at any time (STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT) to stop all messages. Reply START to resubscribe.
  • For help, reply HELP, or contact support@backbonesolutions.ai or (414) 313-7000.
  • Your privacy. We do not sell or share your mobile opt-in or phone number with third parties or affiliates for their own marketing. Mobile carriers are not liable for delayed or undelivered messages.
